What does an ASC 842 lease abstract capture?
A property manager's abstract and an accountant's abstract overlap, but they answer different questions. A property manager needs renewal notice dates, maintenance obligations, and contacts. An accountant needs the terms that change the numbers on the balance sheet:
- Identified asset and parties. What is being leased, and whether the supplier holds a substantive right to substitute it.
- Commencement date. The date the lessor makes the asset available for use, which can differ from the signing date or the first payment date.
- Lease term inputs. The noncancelable period, plus renewal and termination options and the facts that bear on whether exercise is reasonably certain.
- Lease payments. Fixed payments (including in-substance fixed payments) less lease incentives, payments that depend on an index or rate measured at the commencement-date index or rate, the exercise price of a purchase option the lessee is reasonably certain to exercise, termination penalties if the lease term assumes the lessee terminates, and amounts probable of being owed under residual value guarantees.
- Variable payments that are excluded. Payments not based on an index or rate, such as usage- or sales-based rent, are expensed in the period the obligation is incurred rather than included in the liability.
- Lease and nonlease components. Services such as maintenance and common area maintenance, plus charges like property taxes and insurance that are not separate components, and whether the lessee has elected the practical expedient to account for lease and nonlease components together by class of underlying asset.
- Classification inputs. Transfer of ownership, purchase options, the asset's economic life and fair value, and whether the asset is specialized to the lessee.
- Incentives and initial direct costs. Lease incentives, such as a tenant improvement allowance paid to the lessee, reduce the right-of-use asset. Initial direct costs, meaning incremental costs like a commission that would not have been paid without the lease, increase it. Free rent periods show up in the payment schedule.
What is the lease abstraction process?
- Gather the full contract set. The master agreement plus every amendment, side letter, and exhibit. A missed amendment is a common source of a wrong abstract.
- Pull each term and record where it came from. Section and page for every field, so a reviewer can check it without rereading the lease.
- Flag the judgments. Renewal options, the discount rate (or a private company's risk-free rate election), and embedded service components are conclusions, not data. Note the reasoning, not just the answer.
- Review before it reaches the subledger. A second person checks the abstract against the source clauses before the numbers are calculated.
Lease abstract example
A simplified office lease, abstracted for ASC 842:
| Field | Abstracted term | Source |
|---|---|---|
| Asset | Suite 400, 5,200 sq ft, specified in Exhibit A | §1.1, Exh. A |
| Commencement | March 1, 2026 (keys delivered) | §3.2 |
| Noncancelable term | 60 months | §3.1 |
| Renewal option | One 5-year option at market rent | §19.1 |
| Base rent | $14,300/month, 3% annual increase | §4.1 |
| Variable payments | Share of operating expenses, paid as billed | §5.3 |
| Tenant improvement allowance | $52,000, reimbursed against invoices; improvement ownership per §8.6 | §8.4 |
| Rate implicit in the lease | Not stated in the contract | n/a |
The abstract stops at the facts. Whether the renewal is reasonably certain, whether the improvement allowance is a lease incentive, which discount rate to use, and how to treat the operating-expense share are judgments that belong in the lease memo.
How does Gaapio help with lease abstraction?
Upload the agreement to Gaapio's contract analysis and it pulls the terms that drive the accounting and shows where in the document each one came from. From there, the classification analysis and memo carry the same citations, anchored to the FASB Codification. Gaapio is an AI-powered technical accounting platform, built by CPAs.
